The LEAP Contract covers your use and access to LEAP Legal software, products accessible from within the LEAP software and our related services.

The way you receive and use the LEAP Software and its services will stay the same.

We’re refreshing our terms for a few reasons, including to:

• give you greater clarity and transparency on how we operate and how we make decisions that may affect you;

• reflect changes needed for regulatory obligations; and

• bring our global LEAP entities onto a single, consistent set of terms.

The refreshed terms will take effect for new clients from 1 August 2026, and existing clients from 1 September 2026.

New clients: You will be asked to accept the refreshed terms when you sign an Order Form for LEAP Legal Software.

Existing clients: By continuing to use your LEAP Software on or after 1 September 2026, you are agreeing to the refreshed LEAP Terms and Conditions.

The following is a summary of the key updates to the LEAP terms:

• Drafting Language – We have updated the contractual language to suit legal professionals and provided more detail about our practices.

• Global application – There is now one set of terms which applies to all locations in which LEAP is offered. Any differences which are specific to each location are set out in the Country-Specific Terms in Schedule 1.

• Third Party Products – The LEAP software sometimes incorporates or allows you access to third party products provided by other providers. Clause 4 is introduced to clarify the relationship between you, LEAP, and any Third Party Providers.

• Service Variations – Clause 7 sets out when LEAP may be required to vary the services we are providing to you, notes that we would provide reasonable written notice to you where possible and includes your rights where we make variations.

• Intellectual Property – Clauses 8 and 23 set out in more detail each party’s IP rights. You remain the sole and exclusive owner of all rights in Client Data and provide a license to LEAP to use that Client Data in accordance with the Agreement. LEAP retains ownership of the LEAP services and provides you a license to use the LEAP services.

• Use of AI in LEAP Services – Clause 9 introduces terms where LEAP offers AI in its LEAP services. The clauses:

• get your consent to use matter data within your LEAP Account to provide the services;

• explicitly note that LEAP will not use your matter data for the purposes of training or improving AI;

• makes it clear that you must ensure you have all necessary rights and consents related to the matter data so that it may be processed through AI.

• reminds you that AI output must not be relied on as legal advice and must always be reviewed by a qualified lawyer.

• Warranties – Through clause 15, we now provide you the positive warranties.

• Risk & Liability – In clauses 16 and 17 we have introduced more balanced liability and indemnity provisions. Summarized as follows:

• Introduction of mutual liability caps.

• New concept of a Super Cap for areas of law where a breach is more likely to cause higher loss (such as Privacy, Confidentiality, and non-compliance with license restrictions).

• Mutual exclusion of consequential loss in most circumstances.

• Introduction of contributory acts clause and requirement for both parties to mitigate its losses in respect of claims.

• Each party indemnifies the other against third-party claims arising directly from infringement of IP Rights, misuse of Confidential Information, grossly negligent, willful, criminal or fraudulent acts or omissions, and person injury or death, or tangible property damage caused by negligence.

• Suspension of Access – Clause 18 details the situations where LEAP may be required to suspend or limit your access to the LEAP Services. This includes in situations such as where there are concerns about confidentiality or security, or where your use of the LEAP services breaches license restrictions. In these situations LEAP would provide as much notice to you as possible, and restore the suspended elements once the relevant situation has been resolved.

• Retrieving Client Data after termination – On expiry or termination of your LEAP subscription, you will now automatically enter into a single-user Historical Use License charged at your then current single user month amount for the purpose of giving you time to extract any required Client Data. You will need to let LEAP know once you’re finished extracting the Client Data. More information is in clause 20.

• Confidentiality – Clause 24 introduces a full, mutual confidentiality regime standard for contracts of this nature.

• Privacy – Clause 25 expands on the party’s responsibilities about Privacy in alignment with each jurisdiction in which LEAP operates. This clause includes Data Breach Notification procedures.

• Data Protection and Security – Clause 26 introduces promises about the data security measures that must be taken by each party. This includes LEAP’s promise to maintain security controls for the systems it operates in connection with the agreement that:

• Meet or exceed SOC2 Type 2 (or equivalent) standards;

• Are designed to ensure the software does not contain any publicly known malware;

• Are designed to protect Client Data which is stored, handled or processed by LEAP from accidental or unlawful destruction, loss, alteration or unauthorized disclosure or access.

• Client Testimonials – Sometimes you provide us a client testimonial about the LEAP Services. So that each party does not need to do further paperwork with you where you provide a client testimonial, we have included clause 27 where you give us a license to use the client testimonial content you provide to us.
